Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and MeasureMint ("we," "our," or "us"). By installing, accessing, or using MeasureMint ("the Service," "the App"), you agree to be bound by these Terms. If you do not agree to these Terms, do not install or use the Service.

1. Description of Service

MeasureMint is an architectural and engineering scale calibration and precision measurement tool designed for use within Miro digital whiteboards. The Service provides:

• Visual scale calibration for blueprints, floor plans, and technical diagrams
• Point-to-point distance and multi-point perimeter measurements
• Imperial and Metric unit systems (8 unit types: in, ft, yd, mi, mm, cm, m, km, px)
• Persistent scale calibration metadata on Miro boards

2. Eligibility

To use MeasureMint, you must:

• Be at least 18 years old, or the age of legal majority in your jurisdiction (or at least 16 with parental/guardian authorization)
• Possess an authorized, active Miro account
• Have the authority to enter into these Terms on behalf of yourself or the entity you represent
• Comply with all applicable local, state, national, and international laws

3. License Grant and Restrictions

3.1 License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use MeasureMint within your authorized Miro account for internal business or personal workflows.

3.2 Restrictions

You agree not to:

• Reverse engineer, decompile, disassemble, or extract the source code of MeasureMint
• Circumvent or bypass feature limitations, entitlement checks, or license paywalls
• Resell, sublicense, rent, or distribute access to the Service without written authorization
• Use automated scrapers, crawlers, or bots to interact with our API infrastructure
• Use the Service in violation of Miro's Developer Terms of Service or Acceptable Use Policies

4. Miro Platform Integration & Disclaimers

MeasureMint is an independent third-party application developed on the Miro Developer Platform. You acknowledge that:

• MeasureMint is not affiliated with, sponsored by, or endorsed by RealtimeBoard Inc. (Miro).
• The Service relies on Miro APIs and SDKs. We are not liable for service interruptions, changes, or deprecations introduced by Miro.
• You remain solely responsible for your Miro workspace settings, board content, and team sharing permissions.

5. Disclaimer of Warranties & Independent Verification

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

To the fullest extent permitted by law, we disclaim all warranties, including merchantability, fitness for a particular purpose, non-infringement, and accuracy of calculations.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or project delay costs.
• We shall not be liable for damages resulting from measurement discrepancies, construction errors, or material miscalculations.

Aggregate Liability Cap: Our total cumulative aggregate liability arising out of or related to the Service shall not exceed the greater of: (a) one hundred United States dollars ($100.00 USD), or (b) the total subscription fees actually paid by you to MeasureMint in the twelve (12) months preceding the event giving rise to liability.

7. Subscriptions, Payments & Merchant of Record

7.1 Merchant of Record (Paddle)

Our order process and payment billing are conducted by our online Merchant of Record, Paddle.com Market Limited ("Paddle"). Paddle handles payment processing, currency conversions, invoicing, applicable sales tax/VAT/GST remittance, and customer billing support.

7.2 Recurring Billing & 1-Click Cancellation

Paid plans (Monthly, 4-Month Sprint, Annual) renew automatically at the end of each billing period unless canceled. In compliance with consumer protection and FTC Click-to-Cancel guidelines:

• You can cancel your subscription at any time with 1 click in your Paddle customer portal or by emailing support@measuremint.app.
• There are no cancellation fees, penalty hurdles, or mandatory retention phone calls.
• Upon cancellation, your Pro access remains fully active until the conclusion of your prepaid billing period.

7.3 30-Day Money-Back Guarantee

All first-time subscription purchases are backed by our unconditional 30-day money-back guarantee, as detailed in our Refund & Cancellation Policy.

8. Governing Law & Dispute Resolution

Governing Law: These Terms and any dispute or controversy arising out of or related to the Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Forum & Exclusive Jurisdiction: You and MeasureMint agree that any legal action or proceeding arising under these Terms shall be instituted exclusively in the state or federal courts located in New Castle County, Delaware. You hereby consent to the personal jurisdiction and venue of such courts.

Class Action Waiver: YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

9. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material updates, we will update the "Last Updated" date at the top of this page and, where feasible, provide prominent in-app notice. Continued use of the Service following notice constitutes your acceptance of the revised Terms.
